Advisory Services and Consulting
The Business Brokerage Group, Inc. (BBG) offers consulting services to its client companies in order to prepare the business for a successful merger, acquisition or even future business growth.
Over the twenty plus year history of BBG, our clients have requested our assistance in anticipation of divesting or growing the business. As a result, The Business Brokerage Group offers a very targeted custom consulting service package for your company.
Business & Strategic Planning
BBG personnel will assist management in the preparation of a realistic and practical business and strategic plan based on the needs of the business and its owners. Our goal is to assist an owner in planning for success by jointly developing strategic plans that will lead to the maximization of the business' value. We will make sure that your business is ready to sell only when you are ready.
Our approach is to allocate several days of meetings and discussions with management to fine-tune company goals and objectives and align those needs with the demands of the market place.
We will assist you in reviewing all phases of the business from both a functional perspective as well as an integrated whole.
As appropriate, we will look at sales and marketing in light of history and competition; manufacturing with respect to productivity, waste and throughput; inventory and inventory turnover; quality control; purchasing and all general and administrative functions. An integral set of deliverables derived from the planning process will be our development of monitoring tools to oversee and report on the progress of actual business results to planned results.
Periodic follow up by BBG personnel is strongly advised. This will provide for a neutral third party evaluation of the company, an assessment of employee's performance to plan and assistance in the development of corrections to the plan as dictated by economic and market conditions.
In today's uncertain business climate a defined but flexible financial strategy must be considered if you and your business are to not only survive, but prosper. One of the most revealing attributes of successful companies is that they all have very defined financial strategies.
Once you are past startup and development, the most basic ingredient for the continued operation of any business is cash. Businesses require cash to grow, purchase inventory, pay salaries, cover the rent, etc. The cash demands of most businesses tend to be stable over time while the generation of cash through normal business activity tends to be predictable but subject to wide swings that are often not under your control. What is controllable however, is how you plan for and address the vagaries of managing your cash flow.
A financial strategy is to some degree an exercise in preparing for the worst of times, while hoping for the best. We believe that the best time to develop a strategy is during business' good times. Unfortunately, when your business is in dire need of a cash management strategy, it may be too late. BBG wants to ensure that this does not happen to your business.
Our methodology for setting up a strong financial plan for our client's benefit is quite logical. We will analyze the Company's debt and equity structure and compare it to industry norms. We will develop alternative financial structures and interview and poll various sources of debt and equity funds. All strategies are presented to management for consideration, highlighting the strengths and weakness of each approach. Once a strategy has been selected, BBG will assist you, our client, in implementing the strategy best suited to the needs of you and your business.
Sales, Marketing & Distribution Planning and Implementation
We offer engaged hands-on market and sales planning, compensation plan development, sales channel analysis and review, implementation services and follow-up reviews to check plan to actual results.
Sales, marketing and distribution (SM&D) represents the payoff and reward for everyone's hard work. Your may have the best product, the most dedicated people, the most advanced technology or service, but if you cannot get it to the customer and get paid, all your effort is for naught. It is interesting that SM&D is also the most overlooked and undervalued aspects of many businesses.
BBG professionals approach each SM&D engagement with the utmost care and excitement because we know just how important and critical this function is to the success of the business. We want to assist you in improving the sales process while being careful to maintain the unique flavor, feel and success that you have achieved to date.
We begin each assignment, regardless of the specifics of the SM&D engagement; by carefully reviewing all elements of the sales and marketing process and compare what your company is doing with respect to the market. We will also review your distribution channels and assess how it fits with customer expectations.
Distressed Company Services
BBG personnel offers an initial review of any distressed company to determine the feasibility of continuing operations. If, in our collective view, continued operations are feasible, BBG will work with management to develop a turnaround and action plan designed to meet the needs of creditors, customers and the owners.
Our initial review, jointly conducted by management and BBG, will focus on the identification of factors that are critical both to the continued success of the business as well as the reasons for the decline/lack of business activity. Our professionals will look at the issues that currently or historically have prevented the business from achieving the desired level of success, and at the conclusion of our review, BBG will issue a brief report recommending either that the business be closed or that a concerted effort be made to save it or portions of the business.
Once a decision to intervene is made by the shareholders and owners of the business, our approach will be to develop a documented plan of action, which satisfies the needs of all stakeholders (shareholders, managers, employees, debt holders, customers, etc.). The developed plan, in broad terms, will address personnel, operations, sales and marketing and financial issues affecting the business as well as the corrective actions required to continue as an on-going business. With an agreed on plan, BBG personnel will work with management to implement the plan and assist the client with internal and external management as well as the additional funding required in achieving success.
A business valuation is an estimate of the value of a business or of an interest in a business. A business valuation should consider the market value that a buyer could reasonably be expected to pay, and that a seller could reasonably be expected to accept, if the business were exposed for sale on the open market for a reasonable period of time, both buyer and seller being in possession of the pertinent facts, and neither being under compulsion to act.
